Terms of Use

1.1 These Terms apply to your use of the public Website, including when you browse our content, contact us, join a waitlist, subscribe for updates, register for an event or respond to a survey.

1.2 These Terms do not govern participation in a BQ programme, use of the BQ platform, assessments, coaching, kairo, paid individual services or services provided to an enterprise. Those are governed by their own terms, which prevail over these Terms to the extent of any inconsistency.

2.1 The Website and its Content are provided for general information and marketing purposes only. Content is not coaching, an assessment, or psychological, medical, legal, financial or other professional advice, and you should not rely on it as such.

2.2 BQ is an evolving business. Content may describe existing functionality, planned functionality, concepts or future direction. Nothing on the Website is a commitment that any product, feature, programme or service will be made available, continue to be available or be provided in any particular form or within any particular time.

2.3 Nothing on the Website is a guarantee or prediction of employment, promotion, performance, career progression, leadership success, suitability for a role or any other personal or professional outcome. Organisations and individuals remain responsible for their own employment, career and development decisions.

2.4 Parts of the Website may contain text, visuals, summaries or interactive demonstrations (including any demonstration of kairo) that are generated or assisted by artificial intelligence. Such content may be incomplete or inaccurate, is provided for illustration only, and is not a statement, representation or advice by BQ.

2.5 The Website does not host content posted by visitors. If we later allow visitors to post content, additional terms will apply to that feature.

2.6 We may add to, change, suspend or withdraw any part of the Website or its Content at any time without notice.

3.1 The Website and BQ's services are intended for adults. If you are under 18 years of age you must not submit personal data to us or enrol in any BQ programme through the Website.

3.2 If you use the Website on behalf of an organisation, you confirm that you are authorised to do so.

3.3 The Website is operated from India. We make no representation that the Website or its Content is appropriate or available for use outside India. If you access the Website from elsewhere, you do so on your own initiative and are responsible for complying with the laws that apply to you.

4.1 Our Privacy Policy explains how we collect, use, share, protect and retain personal data, the choices available to you and how to raise a concern. Information you submit through the Website is handled in accordance with the Privacy Policy.

4.2 The Website may use cookies and similar technologies that are necessary to operate, secure and maintain the Website and remember essential preferences. If we introduce non-essential cookies or similar technologies, we will provide information and choices before using them where required. The Privacy Policy explains this further.

4.3 Do not provide us with personal data about another person unless you are entitled to do so.

5.1 The Website and all Content are owned by or licensed to BQ and are protected by intellectual property laws. Becoming Quotient, BQ, kairo and the associated names, logos and visual identities are trademarks or proprietary identifiers of BQ or its licensors. Nothing in these Terms gives you any right to use them.

5.2 You may view Content for your own lawful personal or internal business purposes, share links to publicly available pages, and quote short extracts with attribution to BQ, provided you do not misrepresent our views or suggest an association or endorsement that does not exist.

5.3 Except as permitted by law or by us in writing, you must not:

(a) reproduce, republish, distribute, sell, license or commercially exploit the Website or any substantial part of the Content;

(b) modify or create derivative works from any Content, or remove any copyright, trademark or proprietary notice;

(c) scrape, crawl, extract, harvest or compile Content or data from the Website by automated or manual means;

(d) use any Content, methodology, framework or other BQ material to train, develop, fine-tune or improve any artificial intelligence or machine learning system; or

(e) use our name, branding or Content in a manner that is misleading, defamatory or suggests an association with BQ that does not exist.

6.1 You must not use, or attempt to use, the Website:

(a) for any unlawful, fraudulent or harmful purpose, or to infringe the rights of BQ or any other person;

(b) to introduce malware or other harmful code, to gain unauthorised access to any system, account or data, or to interfere with the security, integrity or operation of the Website;

(c) to impersonate any person or misrepresent your identity, affiliation or authority;

(d) to submit anything that is unlawful, defamatory, discriminatory, infringing or otherwise objectionable; or

(e) in any manner that could damage BQ, its users, customers, partners or systems.

7.1 You are responsible for ensuring that information you submit through the Website is accurate and that you are entitled to provide it. Do not send us confidential or proprietary information through a general Website form unless the form expressly asks for it.

7.2 If you send us suggestions, ideas or feedback about BQ, we may use them freely and without any obligation to you.

7.3 We may use survey responses and other information submitted through the Website in de-identified or aggregated form for research, benchmarking, publication and the development of our products and services. Any personal data within such submissions is handled under the Privacy Policy.

7.4 Submitting an enquiry, waitlist request, survey response, event registration or other Website form does not create any contractual, advisory, employment, coaching, fiduciary or other relationship with BQ.

8.1 The Website may link to websites, platforms, content or services operated by third parties. Links are provided for convenience only. BQ does not endorse, control or accept responsibility for any third party or its content, products, services, security or practices, and your use of them is governed by their own terms.

9.1 We take reasonable steps to operate and protect the Website but do not promise that it will be available, uninterrupted, secure or free from errors or harmful components. Access may be interrupted for maintenance, security, technical reasons or circumstances outside our control.

9.2 We may restrict, suspend or block access to the Website, in whole or in part, where we reasonably consider this necessary to protect the Website, BQ, our users or third parties, to investigate misuse or to comply with law.

10.1 Nothing in these Terms excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited. Subject to that, the rest of this Clause 10 applies to the fullest extent permitted by law.

10.2 The Website and its Content are provided on an "as is" and "as available" basis. BQ gives no warranty, express or implied, that the Content is complete, current, accurate or fit for any particular purpose, and disclaims all warranties and conditions that might otherwise be implied.

10.3 BQ and its directors, officers, employees, agents and representatives have no liability to you, in contract, tort (including negligence), under statute or otherwise, for any loss or damage arising out of or in connection with the Website, its Content, or your use of or inability to use either, including:

(a) any indirect, incidental, special, exemplary or consequential loss, and any loss of profit, revenue, business, opportunity, goodwill or data;

(b) loss resulting from reliance on Content, including artificial intelligence generated content, instead of obtaining advice suited to your circumstances;

(c) the acts, omissions, content or services of any third party; or

(d) unauthorised access to or interference with the Website, or any interruption, error or change to the Website.

10.4 If, despite Clause 10.3, BQ is found liable to you for any reason, BQ's total aggregate liability for all claims arising out of or in connection with the Website and these Terms shall not exceed Rupees one thousand (Rs. 1,000).

10.5 You shall indemnify BQ and the persons referred to in Clause 10.3 against all claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your unlawful use of the Website.

11.1 We may update these Terms from time to time. The current version, with its effective date, will be published on the Website. Your continued use of the Website after an updated version takes effect constitutes your acceptance of it.

12.1 These Terms and any dispute arising out of or in connection with them or the Website are governed by the laws of India.

12.2 The courts at Mumbai, Maharashtra have exclusive jurisdiction, subject only to any forum that applicable law makes available to you and that cannot be excluded by agreement.

13.1 These Terms are the entire agreement between you and BQ regarding your use of the public Website. They do not replace any separate agreement governing BQ products or services.

13.2 If any part of these Terms is held invalid or unenforceable, the remaining provisions continue in full effect.

13.3 A delay or failure by BQ to enforce any provision is not a waiver of it.

13.4 BQ may assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, reorganisation or transfer of its business. You may not assign or transfer yours.

13.5 These Terms are written in English. Any translation is for convenience only and the English text prevails.

Part A: Defined Terms

In these Terms:

(a) the singular includes the plural and vice versa;

(b) "including" and similar words are not exhaustive;

(c) a reference to a law includes that law as amended or replaced from time to time;

(d) headings are for convenience only and do not affect interpretation; and

(e) a reference to a Clause is to a clause of these Terms.

Content means all text, graphics, photographs, videos, audio, designs, illustrations, user interfaces, software, branding, trademarks, logos, reports, articles, research, methodologies, frameworks, models, taxonomies, concepts and other materials made available on or through the Website.

Privacy Policy means the BQ privacy policy published on the Website, as updated from time to time.
